1. Parties.
Between SexyPopulation Inc. (“Company”) and the Recruiter signed below (“Recruiter”).
2. Program Overview.
Recruiter will promote the SexyPopulation platform and its Built by Nature competition to prospective female artists.
3. Compensation.
- 3.1 Signing Bonus: $1,000 USD, paid within 5 business days of contract execution, identity verification, and social reach verification.
- 3.2 Completion Bonus: $2,000 USD, paid within 10 business days after the 30th Qualified Recruit enters the Built by Nature competition.
- 3.3 Lifetime Override: 10% of net platform revenue generated by each Qualified Recruit, for as long as that recruit remains active on the platform, paid monthly.
4. Qualified Recruit Definition.
A “Qualified Recruit” means an artist who:
- (a) has ≥ 250,000 verified Instagram followers at time of enrollment;
- (b) completes full profile creation with at least 6 approved photos;
- (c) formally enters the Built by Nature competition;
- (d) passes Company's standard identity, age, and eligibility checks.
5. Recruiter Obligations.
- 5.1 Recruiter agrees to use best efforts to recruit Qualified Recruits using only lawful, truthful, and professional means.
- 5.2 Recruiter shall NOT make unauthorized claims about earnings, prizes, or Company policies beyond public platform materials.
- 5.3 Recruiter shall NOT misrepresent herself as an officer or employee of Company.
- 5.4 Recruiter shall NOT recruit anyone under 18 or anyone who has not given informed consent to join.
- 5.5 Recruiter shall deliver at minimum 5 Qualified Recruits within 60 days of signing as a good-faith milestone.
6. Exclusivity.
Non-exclusive. Recruiter may promote other brands so long as they do not directly compete with SexyPopulation or disparage Company.
7. Term & Termination.
Term is 12 months auto-renewing. Either party may terminate with 30 days written notice. Lifetime Override survives termination for recruits already qualified.
8. Content & IP.
Recruiter grants Company non-exclusive license to use her name and likeness for limited promotional purposes related to the Elite Recruiter Program (feature photos, testimonials). Recruiter retains all rights outside this scope.
9. Confidentiality.
Compensation terms, internal metrics, and unreleased features are confidential.
10. Independent Contractor.
Recruiter is an independent contractor, not an employee. Recruiter is responsible for all taxes, and a 1099 will be issued annually for earnings ≥ $600.
11. Representations.
Recruiter represents she is 18+, legally able to contract, and provided accurate identity and social reach information. Material misrepresentation voids this agreement and forfeits unpaid bonuses.
12. Dispute Resolution.
Binding arbitration in Delaware; governed by Delaware law. Class-action waiver.
13. Entire Agreement.
This document constitutes the complete agreement. Amendments must be in writing signed by both parties.
